1The agreement
These Terms of Use form a binding agreement between you and numericalsAI Inc., a Delaware corporation (“numericalsAI”, “we”, “us”). They govern your use of the Wave_ application, the wave.deal website and everything we provide through them (together, the “Service”).
By creating an account or using the Service you accept these terms. If you do not accept them, do not use the Service. Our Privacy Policy is part of this agreement.
2Eligibility and accounts
You must be 18 years or older to use the Service. Wave_ can spend your money without asking again at the moment of purchase, and that requires the capacity to enter into binding contracts. You must use a payment method you are authorized to use.
One person, one account. You are responsible for your credentials and for everything that happens under your account. Email security@wave.deal immediately if you believe your account has been compromised — this matters more here than in most services, because a compromised account can spend money.
You may delete your account at any time from within the app, under Settings → Account. Deletion stops all running bots, and removes your profile, your bots and your shared configurations. Records of completed transactions are retained where we are legally required to keep them; see the Privacy Policy.
3License to use Wave_
We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own purposes, subject to these terms. You may not copy, modify, reverse engineer, resell or sublicense the Service, or use it to build a competing product, except where that restriction is unenforceable by law. We keep all rights we do not expressly grant.
4Acceptable use and content
We have zero tolerance for objectionable content and abusive behaviour. You may not post, share or transmit content that is unlawful, hateful, harassing, defamatory, sexually explicit, violent, deceptive, or that infringes anyone's rights. You may not impersonate others, scrape the Service, interfere with its operation, or use it to violate any third party's terms.
You may not build or share a bot designed to circumvent a merchant's rules, to acquire inventory for resale in violation of a merchant's terms, or to place orders you do not intend to honour.
You can report content and block other users from within the app. We review every report and remove violating content or accounts, normally within 24 hours of the report. Repeat or severe violations lead to permanent removal without notice.
5Your content and shared bots
You keep ownership of what you create, including your bot configurations. By sharing a bot or posting content, you grant us and other users a worldwide, non-exclusive, royalty-free license to host, display, copy, adapt and distribute it for the purpose of operating the Service. This license ends when you delete the content, except for copies already taken by other users and for backups retained under our retention schedule.
A shared bot is a configuration, not a promise. If you run a bot created by someone else, you run it on your own account, under your own authorization, with your own payment method, and you are responsible for the resulting transactions. The person who shared it is not your agent, gives no warranty, and owes you nothing.
6Authority to transact
Wave_ bots can complete purchases on your behalf without asking again at the moment of purchase. That authority exists only within the limits you set when you start a bot:
- a maximum amount per transaction and a maximum per rolling 30 days
- a category and merchant scope
- an expiry date, after which the bot stops on its own
- the payment method you designate for that bot
If you do not set limits, the defaults are USD 500 per transaction and USD 2,000 per rolling 30 days. A bot never exceeds its limits, even if that means missing the opportunity.
You can revoke a bot's authority at any time from within the app. Revocation takes effect immediately for transactions not yet initiated. A transaction already in flight at that moment may still complete; we will notify you if it does. Every bot expires automatically after 90 days unless you renew it, so no authority runs forever unattended.
7We act as your agent, not as the seller
When a bot completes a purchase, the resulting contract is between you and the merchant. numericalsAI is not the seller, does not own the inventory, and is not a party to that contract. We act only as your agent, within the authority described in section 6.
The merchant's own terms apply to you in full, including its rules on changes, cancellation, baggage, delivery, warranties and refunds. We do not guarantee the accuracy of merchant listings, the availability of anything shown, or that a price will still exist when the bot acts.
8Execution, pricing and failure
Prices move. Between the moment your conditions are met and the moment a transaction completes, the price may change, the offer may disappear, or the merchant may reject the order.
- If the price rises above your limit during execution, the bot aborts the transaction and notifies you. It does not buy at the higher price and does not retry at that price.
- If the offer disappears or the merchant rejects the order, the bot keeps running and waits for the next match, until it expires or you stop it.
- We do not guarantee that a bot finds a match, acts in time, or acts at all. Real-time systems fail, networks drop, and merchants rate-limit.
You receive a notification for every completed transaction, stating what was bought, the final amount, the merchant, and which bot acted.
9Errors and unintended purchases
If a bot completes a transaction outside the authority you gave it — over your limit, outside your scope, or after you revoked it — report it to support@wave.deal within 30 days of the notification. We will:
- attempt to cancel or reverse the transaction with the merchant on your behalf, and
- refund in full any fee we charged on that transaction.
Where the merchant will not reverse a non-refundable purchase, our liability is governed by section 15. This process does not cover transactions that were within your stated limits but that you regret, nor purchases that failed because a merchant cancelled or a payment was declined.
10Cancellation and refunds
Because the contract is with the merchant, cancellation and refunds follow the merchant's policy, not ours. Many travel fares and event tickets are non-refundable from the moment of purchase. A bot may buy something you cannot return. Set your limits with that in mind.
Fees we charge for the Service itself are covered in section 12.
11Payment
Payments are processed by a third-party payment processor certified to PCI-DSS. We do not store full card numbers on our systems; we store a payment token and the last four digits so you can recognise and manage your payment methods.
By designating a payment method for a bot, you authorize charges initiated by that bot within its limits, without a further authentication step at the moment of purchase. This is a standing authorization, and it lasts until the bot expires or you revoke it. We keep a record of each authorization — its limits, its scope and the moment you granted it — so that both sides can establish what was authorized if a charge is disputed.
12Fees and subscriptions
Wave_ is free to use during its initial release. If we introduce fees or paid plans, we will show the price and the terms before you are charged, and we will not apply a new charge to anything you set up before it took effect.
Any subscription purchased through the App Store is billed by Apple. It renews automatically unless you cancel at least 24 hours before the end of the current period, and you manage or cancel it in your Apple account settings rather than with us.
13Suspension and termination
We may suspend or terminate your account if you breach these terms, if we are required to by law, or if your use puts the Service, other users, or a merchant relationship at risk. Except where a delay would cause harm, we will notify you and give you the chance to stop your running bots first.
You may stop using the Service and delete your account at any time. Sections 5, 9, 14, 15, 16 and 19 survive termination.
14Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that a bot will produce any particular result, or that any price or offer shown is accurate or still available.
Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
15Limitation of liability
To the maximum extent permitted by law, numericalsAI is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost opportunities, lost bookings or lost data, even if we were advised that such damages were possible.
Our total liability for all claims relating to the Service is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) USD 100.
Nothing in these terms limits liability for fraud, for wilful misconduct, for death or personal injury caused by negligence, or any other liability that cannot be limited by law.
16Indemnification
You agree to indemnify and hold numericalsAI harmless against claims, damages and reasonable legal costs arising from your use of the Service, the content and bots you publish, transactions your bots complete, or your breach of these terms or of any merchant's terms.
17Apple-specific terms
These terms apply to the iOS application:
- This agreement is concluded between you and numericalsAI only, not with Apple. Apple is not responsible for the application or its content.
- Your license to use the application is limited to Apple-branded devices that you own or control, as permitted by the Usage Rules in the App Store Terms of Service.
- Apple has no obligation to furnish any maintenance or support services for the application.
- If the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the application to you. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever, and any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to any warranty are our responsibility.
- We, not Apple, are responsible for addressing any claims relating to the application, including product liability claims, any claim that the application fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection, privacy or similar legislation.
- We, not Apple, are responsible for the investigation, defence, settlement and discharge of any third-party intellectual property infringement claim relating to the application.
- You represent that you are not located in a country subject to a US government embargo or designated by the US government as a “terrorist supporting” country, and that you are not listed on any US government list of prohibited or restricted parties.
- You must comply with applicable third-party terms of agreement when using the application.
- Apple and its subsidiaries are third-party beneficiaries of these terms, and upon your acceptance Apple has the right — and is deemed to have accepted the right — to enforce them against you.
18Changes to these terms
We may update these terms. If a change is material we will notify you in the app or by email at least 14 days before it takes effect, and we will state what changed. Continuing to use the Service after the effective date means you accept the new terms. If you do not accept them, stop your bots and delete your account before that date.
19Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and by applicable US federal law.
You and numericalsAI agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of these terms or the Service. Either party may bring a qualifying claim in small claims court instead. Nothing here prevents either party from seeking injunctive relief where necessary to protect its rights.
